PACIFIC NORTHWEST DRILL TEAM ASSOCIATION, INC.  BYLAWS
Article I

PNWDTA is an organization for equestrian drill teams based in the Pacific Northwest, which shall include the states of Washington, Oregon, Idaho, Montana, and the Canadian province of British Columbia. This organization will be open to equestrian drill teams of all types, to include but not limited to, women's, men's, posses, youth and co-ed teams. The organization shall have non-profit status and no dividends shall be declared to members.

Article II
Purposes and Objectives:

The purposes and objectives of PNWDTA shall be: (1). To promote equestrian drill team events in the Pacific Northwest of the United States of America and Canada, approximating the States of Washington, Oregon, Idaho, Montana, and the Canadian province of British Columbia. (2). To offer recreational opportunities and the development of physical and mental capabilities, and to promote the health, happiness, and social relations of its members. (3). To incorporate competitive events for the member teams at the annual regional meet, and at other competitions sanctioned by PNWDTA. (4). To promote the education of persons interested in equestrian drill team activities, to include, but not limited to, clinics, seminars, and exhibitions for drill team members, judges, drill masters, and the general public.

Article III
Membership:

Membership in PNWDTA shall be limited to one of the following: (1). Team membership: Team membership shall be open to any equestrian drill team. Fee for team membership shall be $100 per year regardless of number of members in a team. (2). Individual membership: Individual membership may be available to interested individuals who are not members of a member mounted drill team. The individual membership fee shall be $25 per year. Application for membership must be made in writing. The Board of Directors shall have the authority to elect teams and/or individuals into active membership in PNWDTA by a majority vote. Membership is not limited to individuals or teams in the region, but will also be open to interested parties outside of the region. Membership fee is due and payable in November of each year. To be a "member in good standing," the required membership fee, either individual or team, must currently be paid. Each member team in good standing will have two votes and may send any number of members to the meetings. Individual members in good standing will have one vote. In order to vote at the annual meeting in the fall, a team or individual must have been a member in good standing during that year, or have paid the next years dues prior to voting if they are a new member or new team. At any meeting of the PNWDTA general membership, an individual or team entitled to vote may do so by proxy executed in writing by the member or his or her duly authorized attorney in fact. No proxy shall be valid after 90 days from the date of its execution. All proxies shall name a specific person to act on behalf of the member.

Article IV
Meetings:

Board of Directors meetings will be held a minimum of three times a year, spring (March-April), fall (October-November) and at least one month (May-June) before the regional competition, to be held in a central location in July/August. Additional meetings may be held if deemed necessary. Meetings are open to any one, regardless of team affiliation or membership. At any Board of Directors meeting, 2/3 (two thirds) of the duly elected board members present shall constitute a quorum. Annual Meeting: The annual general membership meeting/convention will be held in the fall (October or November) of the year. Officers will be elected and a site for the following year's competition will be selected. Area meetings will be held to elect the area representatives. A Board of Directors meeting will be held prior to the annual general membership meeting. Meetings of the Board of Directors are open to the general membership. However, no member not a member of the Board of Directors may participate in Board discussions unless invited to do so by the Presiding Officer. Actions of the Board of Directors at regular, executive session and special meetings shall be reported to the general membership.

Article V
Officers:

Officers will be elected from the individuals and teams who hold membership, and will include a President, a Vice President, a Secretary, a Treasurer, and Area Representatives from each state or province in the region having members. The Board of Directors will include all the officers of PNWDTA. Officers will be elected to a two year term, and area representatives to a one year term, beginning on December 1 and ending on November 30.

The President and Secretary will be elected one year and the Vice-President and Treasurer will be elected the following year. For the first year, all four officers will be elected, but the Vice-President and Treasurer will hold one year terms for that year only.
All members, individual and team, will vote for the President, Vice-President, Secretary, and Treasurer. Individual and team members from each area will vote for Area Representatives from that area. Officers of PNWDTA need not be voting members of their team, but must belong to a member team or hold an individual membership.

President:  The President shall be the chief executive of PNWDTA. The President shall supervise all activities of PNWDTA; execute all instruments in its behalf; preside at all meetings of the Board of Directors and the general membership; call such special meetings of the BOD and/or general membership as the President deems necessary; appoint such committees as may be necessary to carry out the purposes for which PNWDTA was organized, including determining the number to serve on the committees and to name the chairman thereof; and to fulfill or perform such other duties and responsibilities usually inherent or implied by such office. In the event of a vacancy in the office of President, the Vice-President shall serve as President for the remainder of the term.

Vice President:  The Vice-President shall act for the President in his/her absence and perform such other duties as may be delegated by the President and/or the Board of Directors. In the event of a vacancy in the office of Vice-President, the BOD shall appoint a new Vice-President for the remainder of the term of office.

Secretary: The Secretary shall keep a clear and accurate record of the business transacted by the BOD and the membership by maintaining a book of minutes of all meetings of the membership and BOD. The Secretary shall be responsible for the issuance of the correct number of official election ballots to the members in good standing; and for the tallying and counting of the official ballots. The Secretary shall perform such other duties as may be delegated by the President or the BOD or as may be implied by the office, and shall issue minutes of the meetings to all members within 30 days following a meeting.

Treasurer: The Treasurer shall had the duty and responsibility of receiving and accounting for all funds belonging to PNWDTA, maintaining a clear and accurate record of all transactions, and financial condition of PNWDTA; pay all obligations incurred by PNWDTA when payment is authorized by the President or BOD; maintain bank accounts in depositories designated by the BOD; and render periodic financial reports. The Treasurer shall maintain the records or ledgers of accounts payable and accounts receivable.

Area Representatives: The area representatives shall be elected from each represented area (Washington, Oregon, Idaho, Montana, and British Columbia) and will be one team representative and one alternate, elected by the member teams of that area, and one individual representative and one alternate, elected by the individual members of that area. If there are no teams or individuals in an area, that position shall remain vacant until representation is necessary. Each member of the Board of Directors shall have one vote on each matter coming before the Board. All voting done by the Board of Directors must be done in person. A quorum for conducting business by the Board of Directors shall be two thirds (2/3) of the duly elected Board of Directors.

Article VI
Annual Regional Drill Team Competition:

The annual Pacific Northwest Regional Drill Team Competition will be held in July/August. It is hoped that a location central to the majority of the teams planning to attend would be chosen. Number of days would depend upon the number of teams participating and the number of events being held.

Article VII

These Bylaws or amendments thereto, may be adopted by a majority vote of the membership.

Article VIII

PNWDTA is organized exclusively for educational purposes within the meaning of 501 (c)(3) of the Internal Revenue Code of 1954 or the corresponding provision of any future United States Internal Revenue Code. PNWDTA does not exist for pecuniary gain or profit to the members thereof, and is organized pursuant to the general not for profit corporation law of the State of Washington. In the event that PNWDTA is voluntarily dissolved, dissolution shall be carried out under R.C.W 24.06.260. Upon dissolution of PNWDTA, after paying or adequately providing for the debts and obligations of PNWDTA, the remaining assets shall be distributed equally among the member teams, or shall be donated to a non-profit fund, foundation or corporation selected by the BOD of PNWDTA.
